Terms and Conditions

These Terms and Conditions govern your use of Alliance Innovations' products and services. By purchasing or using our products, you agree to be bound by these terms.

Warranty and Disclaimers

Limited Warranty

Alliance Innovations warrants its products to be free from defects in workmanship. This warranty is in lieu of all other warranties, liabilities and obligations, expressed or implied, and Alliance Innovations SPECIFICALLY DISCLAIMS ALL STATUTORY WARRANTIES, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PURPOSE, EXCEPT TITLE.

Customer's Sole Remedy: As Customer's sole and exclusive remedy for breach of this warranty, Alliance Innovations will replace any products which are reported and returned within ninety (90) days of shipment, transportation charges prepaid by customer, which upon inspection prove to be defective.

• Returned goods will not be accepted without prior authorization.
• A copy of the returned goods policy will be supplied upon written request.

Limitation of Liability

THE ABOVE WARRANTY IS A LIMITED WARRANTY, AND IT IS THE ONLY WARRANTY MADE BY ALLIANCE INNOVATIONS WITH RESPECT TO ITS PRODUCTS. THE REMEDY PROVIDED ABOVE IS EXCLUSIVE.

Alliance Innovations specifically disclaims all responsibility for:

• Damage, deterioration, erosion or corrosion occurring to products after shipment
• Consequential, exemplary or incidental damages, even if Alliance Innovations has been advised of the possibility of such damages

The remedy provided above is in lieu of all liabilities or obligations of Alliance Innovations for damages arising out of or in connection with the delivery, use or performance of products made by Alliance Innovations.

IN NO CASE SHALL THE LIABILITY OF ALLIANCE INNOVATIONS, WHETHER ARISING UNDER CONTRACT, NEGLIGENCE, STRICT LIABILITY IN WARRANTY OR TORT, OR OTHER LEGAL THEORIES, ABOUT THE DELIVERY, USE OR PERFORMANCE OF PRODUCTS MADE BY ALLIANCE INNOVATIONS EXCEED THE PURCHASE PRICE PAID BY CUSTOMER FOR SUCH PRODUCTS.

Terms of Sale

Modifications and Waivers

• Any waiver of or modification with respect to any of the terms set forth herein shall not be effective unless it shall be in writing signed by an officer of Alliance Innovations.

Pricing and Taxes

• Sales, use, excise or other taxes, surcharges and boxing, crating, set-up and/or miscellaneous expenses are not included in quoted prices unless specified as such and will be added where applicable.

Order Acceptance

• All orders made by Customer under this quotation shall be for approval and acceptance by Alliance Innovations.
• Alliance Innovations objects to and rejects any terms set forth in any order made under this quotation which are in addition to or different from the terms and conditions set forth herein.

Risk of Loss

• Risk of loss or damage shall pass to customer upon delivery to carrier.
• Alliance Innovations specifically disclaims any responsibility for any and all damages resulting from delay or failure to make delivery, unless there is a specific written agreement to the contrary.

Order Changes

• No order made by Customer under this quotation may be changed unless Customer gives notice of such revision and Alliance Innovations accepts such revision in writing before work is in process.
• If work is in process, Alliance Innovations will charge Customer for any cost incurred and for all products completed before the change order is made and accepted.

Storage and Property

Alliance Innovations maintains storage facilities for active tooling, fixtures and patterns.

• Alliance Innovations specifically disclaims any responsibility for loss or damage to Customer's tools, fixtures or patterns and does not cover customer property with insurance.
• Alliance Innovations will return to Customer or store for a fee any tools, fixture or patterns not in use for one year.
• All freight, boxing and crating charges on tools, fixture or patterns, to and from Alliance Innovations, will be at customer's expense.

Payment Terms

• Terms of payment on approved credit are referenced on the quote provided.
